1. Who this is between
This agreement is between BGAI Ventures LLC, which runs buildmyaiagents.com ("we" and "us"), and the person who accepts it ("you"). It covers the buildmyaiagents affiliate program: you share a link, and we pay you a commission when someone you referred buys Agent Academy.
The program is for people who live in the United States and are 18 or older. By accepting this agreement you confirm both.
You are an independent contractor. You are not our employee, agent or legal partner, and you cannot make promises on our behalf. Names like Partner and Founding Partner are just names for levels in the program. They do not make you a legal partner of ours.
2. How you earn
You earn a commission on what a customer you referred actually pays us for Agent Academy, on each payment. We measure it on the amount paid after any discount and before payment processing fees. Refunded money does not count.
The base rate is 20% of every payment for the customer's first 12 months, counted from their first payment.
At 3 active referred members you become a Partner, and the rate is 30% for that 12 months. At 10 active referred members you become a Founding Partner: 30% for the first 12 months, then 10% of every payment for as long as that customer keeps paying. An active referred member is a referred customer whose Agent Academy subscription is paid up and running today.
Levels only go up. Each commission is calculated at the rate of the level you hold when the customer's payment is made, and a commission you have already earned is never reduced because your level changes later. The 10% lifetime rate applies only if you are a Founding Partner and this agreement is still in force.
A sale counts for you when the customer buys through your link, and the last link a person clicked wins. Our cookie lasts 60 days. A customer is credited to one affiliate when they first pay, and is never moved to another affiliate afterwards. Only Agent Academy payments earn commission.
You do not earn commission on your own purchases, or on purchases by anyone we reasonably decide is you in another form: the same email address, the same payment card, or an account you control.
3. When you are paid
A new commission is pending for 30 days. That is the window in which the customer can ask for a refund. For your first 3 referred customers the wait is 60 days, so we can see how those first sales hold up.
After that the commission is payable. On the first Thursday of each month we add up what is payable to you, take off anything you owe (see section 4), and pay the total through Stripe to the account you set up. If the total is under $50, it rolls over to the next month.
To be paid you must finish Stripe's payout setup, and your Stripe account must be allowed to receive transfers. Payouts are automatic. The one exception is size: a single payout over $2,500, or a month where all payouts together pass $10,000, waits for one of our people to approve it before it is sent.
If we have not accepted a new version of this agreement from you (see section 10), we hold your next payout until you do.
4. Refunds, chargebacks and clawbacks
If a customer is refunded, in full or in part, the commission on that payment is reduced by the same share. If a customer disputes a payment with their bank, the commission on it is reversed.
If the commission was already paid to you, we take it back by deducting it from your next payout, and a balance carries forward until it is cleared. If you have no later payouts to deduct from, you agree to repay what you owe within 30 days of our written request.
5. Fraud rules and suspension
These are not allowed: buying through your own link or arranging for someone else to; creating fake or duplicate customers; paying or rewarding people to sign up; sending the same customer to us through several affiliate accounts; and any other way of getting commission on a sale that is not a real, independent customer choosing to buy.
We check for this automatically. The checks include matching a customer's email, customer record and card against yours, flagging many first payments from one card or one network in a day, and watching refund and dispute rates.
We suspend your account, and stop adding commission and stop paying, if: a referred customer matches you; any of your first 3 referred customers disputes a payment; or, once you have 5 or more referred customers, more than 30% of them have been refunded or have disputed. Unusual patterns can also hold individual commissions for our review.
We tell you why you were suspended. You can reply with your side, and we will look at it. We do not pay commission tied to fraud or to a breach of these rules, and we may end the agreement for it.
6. How you may promote
Disclose every time. Any post, video, email, page or message that carries your link must clearly say that it is an affiliate link and that you are paid if someone buys. Put it where people will see it, next to the link, in plain words such as "affiliate link, I get paid if you buy". In a video or podcast, say it out loud as well as in the text. A disclosure buried in a profile, or only in a hashtag, does not count. The Federal Trade Commission's rules on endorsements (16 CFR Part 255) require this, and you are responsible for following them.
Make no income claims. Never state or suggest what a person will earn, save or gain from the program or from Agent Academy. Do not use phrases like "passive income" or "make money while you sleep". Do not share earnings screenshots, and do not describe any customer's results unless we have published them. You may describe what the product is and what you yourself did with it, if it is true.
Do not bid on our brand. Do not run paid search ads on our name, our product names, or misspellings of them, and do not point ads at our site in a way that makes it look like you are us.
Do not send mass cold messages or cold email, post spam, buy or sell fake reviews, offer cash back, coupons or rewards for signing up, list the program on coupon or deal sites, or pretend to be us or to work for us. Do not use our logos or names in a way that suggests you speak for us.
Follow the law that applies to your promotion, including email and text message rules and the rules of each platform you post on.
7. Taxes
You are responsible for the taxes on what you earn. We, BGAI Ventures LLC, report affiliate payments to the IRS on Form 1099-NEC where the law requires it, using the tax details Stripe collects from you when you set up payouts. We may hold a payout until your tax information is complete.
8. Records we keep
We keep your application, a record of your acceptance of this agreement (your typed name, the date, the version, and the IP address and device you used), the clicks on your link as a hashed IP address, and your commissions and payouts. Our Privacy Policy says how long.
9. Ending this agreement
You can end this agreement at any time by emailing contact@bizgen.io. We can end it, or suspend you, at any time if you break it, and without notice if the breach is fraud.
Commission on payments made before the end date stays payable when it matures, less anything you owe. Payments made after the end date do not earn commission, including the lifetime rate for a Founding Partner. After the end date you must remove our links from anything you control.
10. Changes and re-acceptance
We may change the program or this agreement. Each version has a date, and the date of the one you accepted is stored with your acceptance. When we publish a new version we will email you. A change to a rate or a level applies only to payments made after the change, and never to commission you have already earned.
You must accept a new version before your next payout. We hold the payout until you do. If you decide not to accept, tell us, and we will end the agreement and pay out what you earned under the old version, less anything you owe.
11. No promises
We do not promise that you will earn anything. How much you earn depends on your audience and what you do. We may change, pause or close the program at any time, subject to section 9. Any figure we show in an example is an illustration of the math, not a prediction.
12. Limits
To the extent the law allows, we are not responsible for indirect or consequential losses, and our total responsibility to you for any claim is limited to the commission you earned in the 12 months before the claim. Nothing here limits responsibility that the law does not allow to be limited.
13. Governing law
Florida law governs this agreement. If something goes wrong, email contact@bizgen.io first and give us 30 days to put it right. If that does not settle it, either of us can bring an individual claim in small claims court in Broward County, Florida. Anything else is settled by binding individual arbitration under the rules of the American Arbitration Association, held in Broward County or by video. Claims are brought individually, not as part of a class or group action.
14. Signing, and everything else
Typing your full name and checking the box counts as your signature, and we keep a record of it. This is the whole agreement about the program.
